淮河能源4月21日公告，公司拟通过发行股份及支付现金的方式购买控股股东淮南矿业持有的淮河能源电力集团89.30%股权，交易价格为116.94亿元。其中，股份对价与现金对价的支付比例分别为85%、15%。本次交易构成重大资产重组。
