金徽股份5月29日公告，公司拟以现金2.88亿元收购礼县德源矿业开发有限公司100%股权。本次收购完成后，公司将新增一宗金矿采矿权和一宗金矿探矿权，并相应取得选矿厂及配套尾矿库等相关生产设施。本次交易不构成关联交易，亦不构成《上市公司重大资产重组管理办法》规定的重大资产重组。
