上海首案：光大香港分所助力境内破产程序获得香港高等法院认可与协助

近日，光大香港分所协助上海某公司（以下简称债务人）管理人，成功获得香港高等法院对中国内地债务人破产程序的认可与协助。

Recently, Everbright Hong Kong Branch assisted the administrator of a company in Shanghai (hereinafter referred to as the Debtor) to successfully obtain the recognition and assistance from the High Court of Hong Kong in the insolvency proceedings of the Debtor in Mainland of China.

债务人在香港设有多家子公司，相关子公司存在较大资产价值，在债务人境内资产有限且管理人未能完成接管的情况下，管理人对境外子公司股权价值回收成果，对保障全体债权人权益存在重大意义。管理人在尝试接管香港子公司的过程中，遭到香港子公司原管理层的强烈对抗，同时，管理人与香港当地各类第三方机构及部门的沟通工作亦遇到了较大阻力。

Given the debtor's establishment of multiple subsidiaries in Hong Kong, which possess substantial asset value, and considering the limited assets within the debtor's domestic jurisdiction coupled with the administrator's inability to complete the takeover, the recovery of the equity value of the overseas subsidiaries by the administrator is of significant importance in safeguarding the interests of all creditors. During the process of attempting to take over the Hong Kong subsidiaries, the administrator encountered strong resistance from the original management of the Hong Kong subsidiaries. Simultaneously, the administrator's communication efforts with various third-party institutions and departments in Hong Kong also faced considerable obstacles.

为了债务人破产程序的顺利推进，尽快实现股权价值回收，光大香港分所与管理人高效紧密协作，经过向上海市第三中级人民法院申请出具请求信，并向香港高等法院提出认可申请后，光大香港分所与管理人于2025年4月24日在香港高等法院正式参与现场聆讯。在管理人前期充分履职的基础上，结合光大香港分所与香港律师团队（出庭）的充分准备，香港高等法院陈静芬法官当庭作出给予认可的决定。2025年4月28日，香港高等法院正式作出HCMP 298/2025号命令，授予管理人在香港行使一系列履职权力，包括但不限于在香港开展资产调查和接管。

To facilitate the smooth progression of the debtor's bankruptcy proceedings and expedite the recovery of equity value, Everbright Hong Kong Branch collaborated closely with the administrator. Following the submission of a Letter of Request to the Shanghai No. 3 Intermediate People's Court and an application for recognition to the High Court of Hong Kong, Everbright Hong Kong Branch and the administrator formally participated in an on-site hearing at the High Court of Hong Kong on April 24, 2025. Based on the administrator's prior fulfillment of duties and the comprehensive preparation by Everbright Hong Kong Branch and the Hong Kong legal team (appearance), Judge Chan Ching Fan of the High Court of Hong Kong rendered an on-the-spot decision to grant recognition. On April 28, 2025, the High Court of Hong Kong formally issued Order No. HCMP 298/2025, granting the administrator the authority to exercise a range of duties in Hong Kong, including but not limited to conducting asset investigations and taking over assets.

在管理人、光大香港分所及香港律师团队（出庭）高效协作下，本案仅花费4个月即成功取得香港高等法院的协助令，充分保障了债权人的合法权益。本案的成功办理，标志着内地与香港在跨境破产领域的合作迈出了实质性的一步，为《会谈纪要》的实践应用注入实质性内容，强化了内地与香港法院在跨境破产领域的协作互信，为构建与国际接轨的跨境破产制度贡献了“上海智慧”与“上海速度”。

Under the efficient collaboration of the administrator, Everbright Hong Kong Branch, and the Hong Kong legal team (in court), this case successfully obtained an assistance order from the High Court of Hong Kong in just four months, fully safeguarding the legitimate rights and interests of the creditors. The successful handling of this case marks a substantive step forward in the cooperation between the Mainland and Hong Kong in the field of cross-border bankruptcy, injecting substantive content into the practical application of the "Minutes of the Meeting," strengthening the mutual trust and collaboration between the Mainland and Hong Kong courts in the field of cross-border bankruptcy, and contributing "Shanghai wisdom" and "Shanghai speed" to the construction of a cross-border bankruptcy system in line with international standards.
