10月25日晚，科瑞思（301314.SZ）发布发行股份及支付现金购买资产并募集配套资金暨关联交易预案公告。公司拟通过发行股份及支付现金的方式购买李刚等7名交易对方持有的宏钢光电100%股份，并向不超过35名特定投资者发行股份募集配套资金。本次交易预计构成重大资产重组及关联交易，不构成重组上市。公司股票自10月26日起复牌。
