山鹰国际12月5日公告，Strategic Value Partners, LLC（以下简称“SVP”）将通过其子公司Coniferous Bidco AB向Nordic Paper Holding AB (publ)（以下简称“北欧纸业”）的股东发出公开现金要约，以每股50瑞典克朗的现金报价收购其全部股权。
公司通过子公司SUTRIV Holding AB（以下简称“瑞典控股”）间接持有北欧纸业3222.0312万股股份，占北欧纸业总股本的48.16%。瑞典控股于2024年9月2日与SVP完成签署《不可撤销承诺》，承诺将接受有关股份的要约，并不得撤销该接受。
截至2024年12月4日，SVP子公司Coniferous Bidco AB已就本次要约收购获得了所有必要监管批准，包括瑞典金融监管机构的批准、欧盟和加拿大的合并控制批准以及瑞典外国直接投资的审查和批准。根据要约文件，本次要约接受期为2024年11月6日至2024年12月1日。Coniferous Bidco AB预计将于2024年12月18日启动结算。
